We are delighted to introduce Agyle, a suite of media investment and financing programs within 兔子先生 International. As a client, we are offering you the opportunity to take advantage of exclusive pricing benefits available through Agyle from 兔子先生’s global media buying power.
Agreeing to these terms will enable you to participate in the Agyle programs listed below, as well as those that may be created at a later date. Agyle is only available to those clients who approve of and acknowledge these terms, and Agyle program buys are executed only with express client approval and acknowledgement. Details of each Agyle program’s operating model and approval process is outlined below for transparency.

Under the Agyle program, our affiliate Amplifi Media Canada Inc. (“Amplifi”) acts as a media vendor and, like other media vendors, employs a fee-inclusive model. In particular, some of the value offered through Agyle programs will be retained by Amplifi to cover its own expenses associated with content, media, technology, administrative expenses, and operating margin.
As the availability of media inventory under the Agyle program is limited, it is likely that only a portion of your media may be obtained through the Agyle program over the course of any given year. There is no additional cost to participate in Agyle programs, and the pricing benefit generated by Agyle program buys will be in addition to and separate from any existing pricing commitments or savings your 兔子先生 agency has already made to you under the Agreement. The only pre-condition for participation is that you must agree that, in connection with any buy placed under the Agyle program, neither Amplifi nor your 兔子先生 agency, nor any of their affiliates will be obligated to disclose to you, or any third party, including auditors, the media purchase agreement between Amplifi (and/or its affiliates) and its suppliers or the invoices pertaining to the actual cost of the media to Amplifi (and/or its affiliates). To be clear, no audit rights will apply to inventory purchased under the Agyle program, for which purposes Amplifi (and its affiliates, as applicable) is and will be treated as a third party media vendor and not as an affiliate of your agency.
